AmbuNet Terms of Use (v2.0)

1. Introduction
These Terms of Use ("Terms") govern access to and use of AmbuNet, a software platform provided by Care Nav Ltd ("we", "us", "our").
By accessing or using AmbuNet, you agree to be bound by these Terms.
If you do not agree, you must not use the platform.
2. About AmbuNet
AmbuNet is a cloud-based platform designed to support healthcare providers, medical event services, and related organisations in managing:
- Patient care records (including ePCRs)
- Staff and recruitment
- Event planning and operations
- Clinical governance and compliance
- Fleet and equipment
AmbuNet is an administrative and record-keeping tool only. It is not a medical device, does not provide medical advice, and must never be relied upon in place of professional judgement.
3. Access and Users
Access to AmbuNet is limited to registered tenants and their authorised users, including:
- Employees granted access by the tenant
- Applicants completing recruitment forms
- Client contacts invited to collaborate
4. Account Registration and Security
To use AmbuNet, you must:
- Be authorised to act on behalf of your organisation
- Provide accurate and complete information
- Maintain the confidentiality of login credentials
You must not share accounts and are responsible for all activity under your account.
5. Subscription and Payment
5.1 Free Trial
New tenants may be offered a free trial period (typically 14 days).
After the trial, continued access requires a valid subscription and payment method.
5.2 Billing
Subscriptions are billed monthly by default, unless agreed otherwise.
Payments are processed via third-party providers (e.g. Stripe).
5.3 Failure to Pay
If payment fails:
- We may suspend or restrict access to the platform
- Continued non-payment may result in account termination
6. Cancellation and Termination
You may cancel your subscription at any time.
Cancellation will take effect at the end of the current billing period.
- No refunds are provided for partial billing periods unless required by law
We may suspend or terminate access if:
- You breach these Terms
- Payment is not received
- Continued use poses a security or legal risk
We may suspend individual user accounts as well as tenant access where necessary.
6.1 Data Export on Cancellation or Termination
Upon termination or cancellation of your subscription:
- You may request a copy of your data within a reasonable period
- Data will be provided in a commonly used electronic format where reasonably practicable
After this period:
- We may delete or anonymise your data in accordance with our data retention policies
- We accept no responsibility for retaining or protecting exported data beyond this period unless legally required
7. Acceptable Use
You agree to use AmbuNet responsibly and in compliance with all applicable laws and regulations.
You must not:
Misuse of Data
- Access, use, or disclose personal data without proper authorisation
- Access patient records without a legitimate clinical or operational reason
- Share login credentials or allow unauthorised access
System Misuse
- Attempt to gain unauthorised access to the platform, servers, or databases
- Interfere with system security, performance, or availability
- Upload malicious code, viruses, or harmful content
Unlawful or Inappropriate Use
- Use the platform for any unlawful purpose
- Store or transmit content that is abusive, defamatory, or inappropriate
- Use the platform in a way that could harm patients, staff, or third parties
Clinical Misuse
- Rely on AmbuNet as a substitute for professional clinical judgement
- Enter false, misleading, or incomplete clinical information
We reserve the right to suspend or restrict access where misuse is suspected.
8. Clinical Responsibility
AmbuNet is a software tool only. We do not provide medical advice, and nothing displayed in or produced by the platform constitutes medical advice.
You and your organisation are solely and entirely responsible for:
- All clinical decisions and their outcomes
- All patient care, treatment, and transport
- Ensuring information entered into the system is accurate, complete, and up to date
- Verifying any information, calculation, alert, or output produced by the platform before acting on it
- Maintaining appropriate contingency procedures for use when the platform is unavailable
AmbuNet must not be relied upon as a substitute for professional judgement. We accept no responsibility whatsoever for any clinical decision, act, or omission made by any user of the platform.
9. Data Protection and Roles
- Each tenant acts as the Data Controller for all personal data entered into AmbuNet
- Care Nav Ltd acts as a Data Processor
You are responsible for:
- Ensuring lawful collection and use of data
- Providing appropriate privacy notices to individuals
- Responding to data subject rights requests

10. Availability and Disclaimer of Warranties
The platform is provided "as is" and "as available", without any warranty, condition, representation, or guarantee of any kind, whether express or implied.
To the maximum extent permitted by law, we exclude all implied warranties, conditions, and terms, including any implied terms of satisfactory quality, fitness for a particular purpose, accuracy, reliability, and non-infringement.
In particular, we do not warrant or guarantee that:
- The platform will be uninterrupted, secure, or error-free
- Any information, output, calculation, or alert produced by the platform is accurate or complete
- Defects will be corrected, or that the platform is free of harmful components
- The platform will meet your requirements or comply with any regulatory framework applicable to your organisation
The platform may be unavailable at any time, with or without notice, due to maintenance, updates, failures of third-party providers, or technical issues. You use the platform entirely at your own risk.
11. Limitation and Exclusion of Liability
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under the law of England and Wales.
Subject only to the paragraph above, and to the maximum extent permitted by law:
- We accept no liability whatsoever arising out of or in connection with AmbuNet, these Terms, or your use of (or inability to use) the platform, whether such liability arises in contract, tort (including negligence), breach of statutory duty, misrepresentation, restitution, or otherwise.
Without limiting the above, we shall have no liability for:
- Clinical outcomes, decisions, acts, or omissions of any kind
- Death, injury, or harm to any patient, staff member, or third party (except as stated in the first paragraph of this section)
- Loss, corruption, or unavailability of data or records
- Errors, omissions, or inaccuracies in any data, output, calculation, alert, or notification
- Interruption, suspension, degradation, or termination of the platform
- Failures of third-party services, integrations, hosting, communications, or payment providers
- Loss of profits, revenue, business, contracts, goodwill, or anticipated savings
- Indirect, special, incidental, punitive, or consequential loss or damage of any kind
- Any regulatory, inspection, or compliance outcome affecting your organisation
- Any losses arising from your breach of these Terms or misuse of the platform
To the extent any liability cannot be excluded but can lawfully be limited, our total aggregate liability arising out of or in connection with AmbuNet shall not exceed the amount paid by you for the platform in the one (1) month immediately preceding the event giving rise to the claim.
You acknowledge that the subscription fees are set on the basis of the exclusions and limitations in this section, and that these reflect a reasonable allocation of risk between the parties given that you, and not Care Nav Ltd, control the clinical and operational activities recorded in the platform.
11.1 Indemnity
You agree to indemnify and hold harmless Care Nav Ltd, its officers, employees, and agents from and against all claims, demands, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use or misuse of the platform
- Your breach of these Terms or of applicable law
- Any claim brought by a patient, employee, client, or other third party in connection with your operations, clinical activity, or data processing
12. Data Loss and Backups
While we take reasonable steps to protect data:
- We do not guarantee that data will never be lost, corrupted, or unavailable
- We accept no liability for any loss or corruption of data, to the maximum extent permitted by law
- You are solely responsible for ensuring appropriate backups, exports, and record-keeping where required by law or regulation
13. Changes to the Service
We may:
- Modify or update features
- Add or remove functionality
We will take reasonable steps to avoid disruption where possible, but accept no liability for any change to or withdrawal of any feature.
14. Changes to These Terms
We may update these Terms from time to time.
Where changes are significant:
- Users will be required to review and accept updated Terms before continuing to use the platform
15. Intellectual Property
All intellectual property rights in AmbuNet remain the exclusive property of Care Nav Ltd.
You are granted a limited, non-exclusive, non-transferable right to use the platform.
You must not reproduce, resell, or copy the platform or any part of its functionality.
16. Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the English courts.
